ZINIT Estudio (hereinafter «the Studio» or «the Agency») delivers specialized services in strategic consulting, frontend software architecture, brand design systems, technical search optimization (SEO/AEO), and artificial intelligence workflow automation.
Services are structured under two mutually exclusive or combined contractual frameworks:
Turnkey development of bespoke landing pages, corporate websites, or web applications with predetermined scope, milestones, and fixed pricing.
Recurring monthly capacity allocated to continuous codebase evolution, art direction, performance ad management, and operational maintenance.

Domain purchase/renewal (.com, .io), enterprise SSL, cloud infrastructure fees (Vercel, AWS, Supabase), and media budgets for Meta Ads or Google Ads are always billed directly to the Client.
Payment Terms, Currency & Late Fees
- 3.150/50 Project Milestones: 50% deposit to lock engineering capacity, and 50% upon final delivery in private Staging before production release.
- 3.2Retainer Invoicing: Monthly retainers are invoiced in advance between the 1st and 5th of each calendar month with a 5-day payment window.
- 3.3Currency & Exchange Rate: Quoted in USD. Payments in ARS settle at the official Banco Nación selling rate (or MEP rate as specified in proposal) upon receipt.
- 3.4Late Payments & Suspension: Payments overdue by more than 10 calendar days grant ZINIT the right to pause sprints and suspend live ad campaigns until regularized.
Work Methodology & 5-Week Sprint
Web development projects are structured under our canonical 4-Phase 5-Week Sprint:
I · The Brain
Strategy, wireframing, content architecture, and sitemap.
II · The Skeleton
High-fidelity UI design, component library, bespoke typography, and responsive mastery.
III · The Engine
Production frontend coding, fluid motion, API integrations, and password-protected staging.
IV · The Evolution
Core Web Vitals testing, live production cutover, and root credentials handover.
* Each sprint phase includes up to two (2) consolidated revision rounds. Structural changes requested after formal milestone sign-off are quoted via separate addendum.
Staging Environments & Sign-Off
All web architectures are deployed first to a private, password-protected Staging URL. The Client holds five (5) business days to review deliverables and provide consolidated feedback. If no feedback is submitted within this window, the sprint is deemed accepted.
Intellectual Property & Source Code
- 6.1Client Ownership: Upon 100% payment settlement, the Client gains irrevocable ownership of final design assets and a perpetual license to use and modify the custom frontend codebase.
- 6.2Portfolio Rights: ZINIT Estudio retains the moral authorship right to showcase the delivered project across its portfolio, digital channels, and pitch decks.
Confidentiality (Implied NDA)
Both parties enter an implied bilateral non-disclosure agreement protecting business strategy, financial metrics, technical architectures, and trade secrets exchanged during collaboration. This obligation persists for three (3) years post-engagement.
Support SLA & Scope Changes
Total site downtime, broken checkout funnel, or payment gateway disruption. Response SLA: < 4 hours (active retainers).
Content updates, layout tweaks, or new third-party integrations. Response SLA: < 24 business hours.
Termination & Clean Handover
Monthly retainer contracts may be terminated by either party with a thirty (30) days written notice. Upon termination, ZINIT guarantees a clean handover of all administrator credentials, repository commits, and technical docs without arbitrary holdbacks.
Governing Law & Jurisdiction
This agreement is governed in its entirety by the laws of the Argentine Republic. Any dispute, claim, or controversy arising out of or relating to this agreement shall be submitted to the exclusive jurisdiction of the Ordinary Courts of the city of Rosario, Province of Santa Fe, with express waiver of any other venue.
ZINIT Transparency Commitment
All terms, engineering covenants, and specifications detailed herein reflect our actual software operations. Engaging our studio implies mutual acceptance of these terms, formulated to ensure certainty and technical precision.
